ROFR Issues: An Interpretative Approach - Date Changes

This seminar is intended for more senior level landmen who are responsible for analyzing various situations in which ROFR issues may arise and recommending or implementing appropriate corporate responses thereto.


This seminar will be presented in two parts. The morning will be devoted to a presentation of legal principles which may be relevant to ROFR situations and a suggested interpretative methodology for analyzing and responding to unusual ROFR scenarios.

Legal presentation topics will include:

  • The burdensome nature of ROFRs and interpretative default rules
  • ROFR compliance and challenges for uncertainty
  • ROFRs, joint ownership and royalties
  • Unmatchable consideration
  • Major transactions and package deals
  • ROFRs and corporate re-organizations
  • ROFRs involving both land and facilities

In the afternoon, a senior landman will join the lawyers in a round table discussion of ROFR issues and specific fact scenarios gathered by the presenters and submitted to the panel by the course participants. Prospective course participants are encouraged to submit their favourite challenging ROFR problem to the instructor prior to or at the seminar for consideration and discussion in the afternoon round table discussion.

Ashley Weldon, Associate, Burnet, Duckworth & Palmer LLP

Ashley is an Associate in BD&P's Energy Group, whose practice involves transactional work including asset and share acquisitions and dispositions, energy projects and joint ventures, as well as general corporate matters and asset due diligence.  Ashley attended the University of Calgary where she earned both a Bachelor of Commerce in 2005 and a Bachelor of Laws in 2009.

John Parry

John Parry is a Petroleum Landman who has worked in the industry since 1978. John has experience in all aspects of exploration and development activity both in Canada and the United States, and has worked in all aspects of Land from Field Exploration to E&P Management. Previously John was the Land Manager at SkyWest Energy Corp., President of McMurray Energy Corp., a thermal heavy oil company and was a Senior Mineral Negotiator with Canadian Natural Resources Limited. John is a graduate of the University of Calgary, member of CAPL, the AAPL, and is a Licensed Land Agent in Alberta.
